Group accounts是ACCA考試的重點(diǎn)，其要求掌握的內(nèi)容主要有以下幾點(diǎn)：

1) Control 必須滿足的條件，3 個(gè)都要：

a) Power over the investee

b) Exposure to, or rights to, variable returns from its involvement with the investee 承擔(dān)風(fēng)險(xiǎn)，享有權(quán)利，左右利潤分配的權(quán)利

c) The ability to use its power over the investee to affect the amount of the investor's returns 行使投票權(quán)/否決權(quán)，左右投資決策

衍生一下：任命/罷免核心管理人員，對孫公司的控制，操縱合并范圍 (Rights to direct the

investee to enter into, or veto changes to, transactions for the benefit of the investor)，其他管理契約中的權(quán)利

關(guān)鍵時(shí)間點(diǎn)：The date of 'Acquisition' & 'Disposal'

2) Significant influence： ‘power to participate’, but not to ‘control’

特征：往往具有 20%以上，不足 50%投票權(quán)。選董事會(huì)代表，參與政策制定，有重大交易，管理層交換，提供必要技術(shù)信息。
